# AI Business Purchase Agreement: Attorney Review Checklist

Acquisition Stars · Last updated October 23, 2026

If you have used AI to prepare a business purchase agreement, give counsel the original deal documents alongside the generated draft. The review needs to establish whether the draft reflects the transaction you intend to complete, what remains unresolved and who will handle the next steps.

You can bring questions and unfinished work. An initial scope discussion can begin with the documents you already have.

## Start with the actual deal, then compare the draft

An agreement can read smoothly while leaving a business decision unanswered. The names may be correct and the sections familiar, yet the draft may still describe a different transaction from the one you have discussed with the seller.

Give counsel the current LOI, any seller or broker draft, relevant written communications and the version you want reviewed. Identify what has been signed. Explain which AI-assisted changes you made and what you were trying to accomplish.

Then separate confirmed facts from assumptions:

| If the generated draft says… | Bring the underlying material | Identify the decision still needed |
| --- | --- | --- |
| The buyer is purchasing specified assets | The LOI and available asset list | What is included, excluded or still being negotiated? |
| The seller will provide transition assistance | The actual proposal and communications | What work, availability and duration have the parties discussed? |
| The transaction will close on a stated date | The proposed timeline and lender communications | Which deliveries, approvals or other dependencies remain open? |
| A seller note forms part of the price | The financing proposal and draft note, if available | How will the note be reviewed alongside the other transaction documents? |

These are starting questions. Their answers depend on the documents, the proposed structure and the advice required for your transaction.

## Ask for review of the assignment you need

Checking one draft, negotiating the agreement and representing you through closing involve different work. Describe the next step you need counsel to handle.

A useful scope discussion identifies the current document version, the supporting material available, whether negotiation is included and who will review later revisions. It should also establish who is coordinating the lender, tax adviser, lease issues or other workstreams relevant to the deal.

If you expect counsel to take responsibility for a closing list or follow-up work, discuss that explicitly. Our guide to [structured M&A engagements](https://acquisitionstars.com/services/structured-ma-engagements) explains the importance of defining the assignment before work begins.

## A hypothetical: a transition clause with no agreed plan

Suppose a buyer asks an AI tool to add “reasonable transition support” to a purchase agreement. The seller had discussed staying involved for a period after closing, but the parties have not settled the schedule, tasks or availability.

The draft now contains a transition clause. The commercial discussion is still incomplete.

Before refining the language, the buyer needs to explain what assistance the business will need and establish what the seller is prepared to provide. Counsel can then evaluate how the proposed agreement addresses that arrangement and what remains to be resolved.

This hypothetical illustrates how to identify an unresolved business decision. Counsel must evaluate the language and applicable law for the actual transaction.

## Make the handoff easy to follow

Send a short explanation of what you want reviewed:

- The transaction stage and next known deadline.
- The current source document and any signed version.
- The AI-assisted draft, clearly identified as a working version.
- A concise list of questions, proposed changes and assumptions you want checked.
- The people already involved, including the lender or accounting adviser where relevant.

Keep original documents distinct from summaries. Identify a statement as your understanding when you have not confirmed it with the other party.

Before putting confidential transaction material into an AI service, discuss its use and the handling of that information with counsel. Discuss the actual service, its settings and the information involved before deciding whether to use it for transaction material.

## Does an AI-assisted draft reduce legal fees?

A prepared draft does not establish the scope or price of the legal work. Counsel still needs to assess the material and the assignment. Ask how the available documents affect the proposed scope, what review is included and how changes to that scope will be handled.

The ABA's Formal Opinion 512 addresses lawyers' use of generative AI under the Model Rules, including verification, confidentiality and reasonable fees. It does not create an automatic surcharge for a client who brings AI-assisted material, or guarantee a discount. Applicable professional rules and the actual engagement govern the work and billing. ## Keep the agreement connected to its supporting documents

A purchase agreement is reviewed alongside the documents that define its terms and the facts behind them. If your working draft refers to schedules, exhibits or a separate note, identify which of those documents actually exist. Mark a missing attachment as an open item so the reviewer can distinguish unfinished drafting from an agreed commercial term.

### Identify the version that governs the discussion

Keep the last document received from the other party, your proposed changes and any signed document in separate files. Give each a descriptive name and identify its sender and date in the handoff. If you combined language from several versions, explain that process and retain those versions for comparison. Counsel needs to see what changed and which changes the other party has actually considered.

A clean copy is useful for reading. A comparison copy is useful for understanding movement between drafts. Ask which format counsel wants before replacing the working files or accepting every tracked change. Preserve comments that record unanswered questions, while keeping internal strategy separate from the version intended for the other side.

### Trace a proposed term to its business source

For each material change you requested, write down the underlying objective. For example, a transition provision may be intended to preserve customer relationships, train the incoming operator or answer operational questions. Those objectives can call for different discussions about availability, personnel, compensation and completion. Explain the need before asking counsel to choose language.

Where a draft inserts an assertion about the business, identify the person or record that can confirm it. Counsel can help explain the contractual significance of that assertion. The factual answer may need to come from the seller, management, an accountant or another adviser with access to the records. Keep the legal review and factual confirmation connected without treating either as a substitute for the other.

### Check dependencies across the document set

A payment provision may refer to an adjustment calculation in another section, a seller note in an exhibit and restrictions in financing documents. A proposed remedy may depend on notice requirements elsewhere in the agreement. Flag those cross-references for the reviewer, especially where your working draft changed only one part of the arrangement.

Ask who will check consistency after negotiations continue. A useful initial review can become outdated when a later revision changes a definition or closing condition. Establish which revisions fall within the engagement and how additional review will be authorized. That makes responsibility for the final version visible before anyone signs.

## Separate an unanswered fact from a negotiation request

An open question can require research, a business choice or advice about legal consequences. Labeling the type of question helps route it to the right person. An accountant may need to explain an adjustment calculation; a lender may need to confirm financing requirements; the buyer may need to decide what seller assistance the business needs. Counsel can then advise on the agreement with those inputs in view.

Use a working issue list with columns for the provision, the source material, the unanswered question, the person responsible and the next action. Write the question in ordinary language. “Who pays this amount if the customer cancels?” gives the reviewer a concrete concern to investigate. A generic instruction to strengthen protection leaves the commercial choice unresolved.

Keep proposed negotiating positions distinct from statements of agreement. If the seller has discussed a topic without accepting a term, say so. If a proposed date depends on financing, identify that dependency. A polished draft can obscure these differences unless the handoff explains them. Your issue list should help counsel see both the current proposal and the decisions still requiring your instructions.

## Check what a summary leaves out before using it to negotiate

The [ABA, Formal Opinion 512, July 29, 2024](https://www.americanbar.org/content/dam/aba/administrative/professional_responsibility/ethics-opinions/aba-formal-opinion-512.pdf) addresses independent verification and the protection of client information when lawyers use generative AI. Ask counsel how those issues affect the proposed document review. A summary can help you organize questions, while the underlying agreement supplies the language counsel must assess.

For example, a summary may say a seller note can be offset against a claim. The agreement may also contain a notice deadline, a disputed-claim procedure and a limitation on the amounts affected. Bring the note, the relevant agreement and the summary together. Ask counsel to identify the operative provisions and explain how they interact before using the summary as a negotiating position. This is an illustrative document-review problem; the actual rights depend on the documents and governing law.

If the working draft includes a legal citation, preserve it as a research question for counsel. A citation that looks plausible still needs its text, jurisdiction and relevance checked. Identify which proposed term depends on the cited rule so counsel can connect the legal research with the business decision you face.

## What if I only have questions?

Tell counsel which decision you are trying to make and what documents you have. You might need help assessing a proposed agreement, responding to a draft or defining the legal work for the acquisition.

## Questions before the documents are signed

### Can I request review before completing an AI-assisted draft?

Describe the transaction stage and the decision ahead. Identify the original documents available and the working draft or questions you want assessed. Scope and availability are confirmed before an engagement begins.

### What should accompany an AI-generated purchase agreement?

Identify the current LOI, the latest received agreement, signed commitments and supporting schedules. Keep the generated working version distinct and explain the material changes you requested.

### Will counsel handle negotiations as well as reviewing the draft?

Confirm that assignment in the engagement. A review, negotiation of revisions and closing representation have different deliverables and dependencies.

General information for planning a discussion with counsel. The appropriate structure and documents depend on the parties, governing law and transaction. An assessment request does not create an attorney-client relationship.
