# Indemnification Cap vs. Basket: How Claims Are Limited

[Transaction guides](https://acquisitionstars.com/blog) · By [Alex Lubyansky](https://acquisitionstars.com/about) · Updated September 22, 2026

A cap limits recovery for the claims it covers. A basket sets an aggregate threshold or deductible for covered losses. Read both alongside exclusions, claim deadlines, separate indemnities and insurance; neither provision necessarily governs every claim under the agreement.

| Provision | What it addresses | Question to resolve |
| --- | --- | --- |
| General cap | A ceiling for a defined group of claims. | Which claims count toward it, and which use a different limit? |
| Tipping basket | Recovery may begin from the first covered dollar once the aggregate threshold is crossed. | What losses count toward the threshold, and are individual claims screened out? |
| Deductible basket | The covered party bears an initial amount before the other party pays. | Is recovery limited to eligible losses above that amount? |
| Survival and notice | The period and procedure for preserving a claim. | What notice is required before the contractual deadline? |
| Escrow or holdback | A source of funds for payment. | Is it the exclusive remedy or only one collection source? |
| Insurance | Coverage subject to policy terms, retention and exclusions. | Which matters remain outside the policy or remain the seller’s responsibility? |

## A hypothetical basket example

Source: illustrative arithmetic, not a market benchmark. Assume $200,000 of eligible aggregate losses and a $50,000 basket, with no other limitations. A tipping basket could allow $200,000 of recovery after the threshold is crossed. In this illustrative calculation, a deductible would leave $150,000 above the basket (source: the assumed loss less the assumed deductible).

The example assumes the contract works exactly as described. Actual recovery also depends on the applicable cap, exclusions, claim procedures and other terms. An aggregate deductible is generally applied to the covered group of losses; it is not automatically a new saving on every claim.

## Negotiate the package, not an isolated percentage

Identify the claims the parties intend to cover, then evaluate limits, time periods, funding and enforcement together. A higher limit may have little practical value without a collectible remedy. An escrow release does not by itself erase obligations that survive under the agreement.

Fraud, specified indemnities, fundamental representations, taxes and covenants may receive different treatment. The agreement and governing law determine the result. This guide does not state a market-standard cap, basket or survival period because those benchmarks require a defined deal sample and date.

A [public acquisition filing](https://www.sec.gov/Archives/edgar/data/755001/000119312524178604/d786482d8k.htm) describes a transaction with a claim threshold, basket, deductible and cap. It illustrates why reading all of the provisions matters; its negotiated terms are not a recommendation for another deal.

## Frequently asked questions

### Does a cap limit all seller liability?

Only to the extent the agreement and applicable law make it apply. Separate indemnities, fraud provisions, covenants and other excluded claims may receive different treatment.

### Is a basket the same as a deductible?

A deductible is one possible basket design. A tipping basket can permit recovery from the first covered dollar after the threshold is crossed, while a deductible generally leaves the initial covered amount with the claimant.

### Should the cap equal the escrow?

That is a negotiated choice, not a universal requirement. Clarify whether the escrow is the sole source of recovery and what happens to claims when funds are released.

### Does representations and warranties insurance remove the issue?

Insurance can change the allocation of risk, but the policy has its own conditions, retention and exclusions. The agreement should explain the seller obligations and other remedies that remain.
