Employee covenants in the target's contracts may be unenforceable in this state, which changes the workforce risk assessment.
Restricted by income threshold. Strict blue-pencil (no reformation).
Restricted under the Virginia Non-compete Restriction Act (effective July 1, 2020, amended 2023). Non-competes are prohibited for low-wage employees. Since July 1, 2025 that definition covers both employees earning less than the Commonwealth's average weekly wage, a threshold adjusted annually, and every employee entitled to overtime pay under the Fair Labor Standards Act regardless of earnings. For employees above the threshold, standard reasonableness requirements apply. Virginia courts apply a strict blue-pencil rule, striking unreasonable provisions without reformation.
Unpaid state taxes follow the assets in many states, so state tax filings and clearance sit high in the diligence scope.
Virginia imposes a 6% corporate income tax. The state uses a double-weighted sales factor apportionment formula. Virginia conforms to most federal tax provisions but has a fixed-date conformity, meaning it does not automatically adopt federal tax changes. This can create differences between federal and Virginia treatment in the year of a transaction.
Entity good standing and required filings are checked so closing deliverables are known before signing.
Entity mergers and conversions require filing with the Virginia State Corporation Commission (SCC). Annual reports (annual registration fees) are required. The SCC also regulates certain types of business entities more actively than most states.
Some acquisitions require notifying the FTC and the Department of Justice before closing under the Hart-Scott-Rodino Act's premerger notification program, which applies above an annually adjusted size-of-transaction threshold. Diligence should confirm early in the process whether a deal falls above that threshold, because the required waiting period directly affects the closing calendar.

Employment diligence should flag whether the transaction, or a workforce change the buyer plans after closing, could trigger advance notice requirements under the WARN Act for a qualifying plant closing or mass layoff. The notice obligation runs on a calendar the deal timeline has to accommodate, not the other way around.
